TalkTalk sale talks hit a crucial stage as exclusivity expires

The company said it remains in “advanced discussions” over the sale of TalkTalk Consumer and its wholesale business, PXC.

Opus Broadband is reportedly considering a deal worth around £100 million for the consumer arm, while Octopus Investments is understood to be looking at a roughly £300 million deal for PXC.

Talks with both potential buyers have now moved beyond their periods of exclusivity, leaving the outcome of the sales unclear.

The stakes extend beyond TalkTalk’s 1.5 million customers and around 900 employees.

The company provides broadband and telecoms services to households and businesses, as well as services to the Ministry of Defence.

The Government has reportedly been involved in discussions due to TalkTalk’s role in the country’s communications infrastructure, with some national security networks understood to rely on its systems.

Meanwhile, Ofcom is monitoring the situation. BT has reportedly been asked to prepare for the possibility of taking on TalkTalk’s retail customers if the company is unable to complete the sales.

Price competition has added to TalkTalk’s problems

TalkTalk employs around 900 people and has been carrying substantial debt since being taken private in a £1.1 billion deal backed by Sir Charles Dunstone in 2020.

The company has also struggled against newer broadband operators that have entered the market and competed aggressively on price.

Adding another complication, TalkTalk Consumer depends on infrastructure controlled by PXC, meaning the two sales are closely connected.

TalkTalk said it expects to provide further updates once there is more news on the transactions.
